Consultancy on foreign investment in Vietnam
Financial Review
The Financial Review would focus on balance sheet of the Company from the beginning until now. The scope of work includes:
• Validate items on balance sheet, crosscheck with invoices and other supporting documents. The scope would cover all significant/material assets and liabilities items on the balance sheet.
• Identify contingent liabilities and potential risks to Buyer in a share deal transaction
• Recommend solutions for Buyer to manage identified risks that could be addressed as terms in SPA (Sales and Purchase Agreement), adjusting price offering or pre- or post-transaction resolutions
Valuation
We will perform valuation of the company’s equity based on Asset
Approach
Asset Approach:
• Inventory, Fixed assets and Construction in Progress will be restated at fair value as at valuation date using recoverable method, reproduction or replacement method when appropriate
• Lease Hold Right will be valued using discounted lease difference
• Financial assets and liabilities will be valued based on recoverable amount or book value
• Value of the company’s equity would be the net fair value of assets and liabilities as at the valuation date
Legal
• Revising legal, business, investor documents in order to guarantee that all documents are adequate and comply in term of Vietnam laws including Investment Certificate of the Company, Land-use Right Certificate, the Legal Documentary of Finance, Capital Contribution Contract, Rent Contract, etc which related to the resolvement service providing by the Advisor
• Advising the legal value of documents and contracts are provided in order to conduct the project transferring and capital contribution assignment to investors
• Analysing legal risks occurs in the process of assigning, assumption project, capital contribution to investors (if any)
• Supporting to clarify the agreement, consult contracting procedures of assigning, assumption project, capital contribution to investors (if investor offer)
• Drafting legal contracts relate to the project assignments, capital contribution
• Representing investors to submit application to the competent authorities to amend the Investment Certificate
• Representing investors to explain, amend, implement application at the request of Vietnam competent authorities
• Carrying out procedures for registration of amendment of investment projects in accordance with the provisions of Vietnam laws
• Completing all the procedures and implementing other related jobs during the registration process of adjustment of initial certificates to investors in accordance with Vietnam laws.
